What you have to do
Registration and governance
A business should be able to show that it can answer yes to these: Have you checked whether you must be registered with the NPO Directorate, and do you hold a current registration certificate if so? Is your constitution current, and does the Directorate have your correct office-bearers and contact details? Does your governing body meet regularly, keep minutes and manage conflicts of interest?
Reporting
A business should be able to show that it can answer yes to these: Have you filed your annual narrative report and financial statements, with any accounting officer's or auditor's report the current rules require, by the deadline? Do you keep proper books of account and supporting records, and have them available for inspection?
Transparency and tax
A business should be able to show that it can answer yes to these: Do you record who controls the organisation, and keep that information up to date as the amended Act and regulations require? Do you understand where significant donations come from and where money goes, especially cross-border? If you have public benefit organisation status with SARS, do you meet its conditions and file the returns on time?
How to comply, step by step
- Registration and governance. Registration was made compulsory for non-profits operating in South Africa. Confirm your position with the Directorate and keep the certificate. Tell the Directorate when office-bearers or the address change, and keep the minutes of the appointments. Keep an annual meeting calendar and a conflicts register.
- Reporting. Confirm the deadline and required content in the current regulations. A source says the old nine-month deadline was moved to the regulations. Reconcile bank accounts monthly and document your financial controls.
- Transparency and tax. Check the current definition of beneficial owner for NPOs and review the list at least yearly. Write a simple due diligence process for large donors, partners and transfers. Keep the exemption letter and see the Income Tax assessment.
